1. Parties, acceptance, and package

This agreement is between Joel Stjean, carrying on business as Proactix Safety, a registered British Columbia sole proprietorship (“Proactix”) and the organization identified by the person accepting it (“Customer”). Selecting the acceptance control represents that the person is at least 18 years old and authorized to bind Customer, electronically signs this agreement, and can retain a copy.

The checkout or signed order, this agreement, the Security & Trust Addendum, and the Acceptable Use Policy form the Pilot contract. The Privacy Notice explains personal-information handling. A signed order controls commercial particulars it expressly changes; this agreement controls the Pilot; and the Addendum controls data-security and processing matters.

2. Purpose and 30-day term

The Pilot is a limited 30-day safety-intelligence program to test how Proactix can turn Customer’s existing records into evidence-supported observations, action ownership, verification, and leadership reporting. It starts on the kickoff date shown in the workspace or order after verified payment and required intake.

The standard journey includes baseline setup, current-period evidence review, action tracking and verification, a mid-point review around day 16, and a final review around day 30. Exact outputs depend on records received and the server-authoritative offer. Meeting dates may move without extending the service unless expressly agreed.

The Pilot does not automatically renew or convert into Safety Hub. Continuation requires Customer’s separate selection and payment authorization.

3. Scope and exclusions

The base Pilot covers one scoped report stream for the company, site, crew, department, location, or work group identified in the order and workspace. Each additional separately scoped report stream purchased for CAD $500 has its own baseline evidence pool and its own continuing reporting pool during the same 30-day Pilot. Findings, actions, verification evidence, and reporting remain separated by purchased scope so one operational group does not dilute another.

All purchased scoped report streams use the standard Proactix methodology, report format, and overall Pilot timeline. A custom method, formal investigation, legal or regulatory opinion, engineering review, custom presentation, onsite service, residency promise, separate Pilot timeline, or other material variation requires separately accepted scope and price. Proactix may reject unusable, unsafe, unauthorized, or out-of-scope material.

4. Customer responsibilities

  • Name an authorized business contact and provide timely operational context, records, decisions, and verification evidence.
  • Provide only records Customer may lawfully disclose and redact unnecessary personal, medical, disciplinary, HR, union, legal, financial, or highly sensitive information.
  • Protect credentials and access assignments and report suspected compromise.
  • Review outputs for accuracy, context, practicality, and site suitability before use.
  • Remain responsible for supervision, hazard controls, training, emergencies, investigations, regulatory reporting, and every safety or employment decision.

5. Proactix responsibilities and outputs

Proactix will use commercially reasonable efforts to review in-scope evidence, separate supported findings from uncertainty, identify practical action opportunities, preserve source traceability where supported, and provide the outputs shown in the workspace or order.

For each purchased scoped report stream, outputs may include a scope-specific baseline or early-opportunity snapshot, action register, verification log, day-16 review, executive summary, final report, scorecard, and continuation recommendation. Proactix will not label an unverified action as verified or invent findings when evidence is missing.

6. Fees, taxes, payment, and changes

The standard base Pilot price is CAD $2,000 for one scoped report stream. Each additional separately scoped report stream is CAD $500. Price, currency, purchased scope count, credits, and taxes are fixed by the server-generated checkout or signed order. Customer authorizes the displayed one-time charge. Payment is due before kickoff unless a signed order says otherwise, and access follows only independently verified payment evidence.

Except where law requires otherwise, fees are non-refundable after kickoff. If Proactix terminates before substantially delivering for a reason not caused by Customer, it will refund the unearned portion. No email, browser parameter, or return URL can change price, issue a refund, or establish payment.

7. Schedule, correction, and completion

Dates depend on timely intake, usable evidence, access, and decisions. Customer delay may pause the schedule and require a revised completion date without expanding scope. Customer should report a material defect within 10 business days and provide enough detail to reproduce it.

As the primary remedy for a verified failure to materially meet written scope, Proactix will use reasonable efforts to correct or re-perform the affected portion.

8. Decision support and urgent hazards

Proactix is decision support, not competent supervision or professional legal, engineering, medical, regulatory, or certified occupational-safety advice. AI-assisted output can be incomplete, inaccurate, or contextually wrong and requires human review.

Proactix does not guarantee identification of every hazard or duty, compliance, incident prevention, or a particular result. Customer must respond to urgent hazards and emergencies immediately through its own procedures.

9. Ownership, confidentiality, and data

Customer owns Customer Content. Proactix owns its software, models, methods, scoring logic, templates, report structures, workflows, documentation, and generally applicable know-how. After payment, Customer may use Pilot outputs internally and share them with legitimate advisers under appropriate confidentiality, but may not resell the service or build a competing product from Proactix intellectual property.

Each party will protect the other’s non-public information with reasonable care. The Security & Trust Addendum governs permitted processing, safeguards, service providers, incidents, export, retention, and deletion. Proactix will not sell Customer Content, use identifiable content to train a public or third-party general-purpose model, or publish Customer-identifiable results without written permission.

10. Suspension and termination

Proactix may pause for unverified payment, unsafe or unlawful material, uncertain data authority, material security risk, out-of-scope demand, or an Acceptable Use Policy breach. It will give notice and an opportunity to cure where practicable.

Either party may terminate for uncured material breach after reasonable notice. Customer may stop participating, but that does not create an automatic refund after kickoff. Payment, confidentiality, ownership, permitted retention, limitations, and dispute terms survive as necessary.

11. Warranties, disclaimer, and liability

Each party warrants authority. Proactix warrants professional performance with commercially reasonable care. Except for that express warranty and to the extent permitted by law, the Pilot is provided “as is” and “as available,” without implied warranties of merchantability, fitness, non-infringement, completeness, uninterrupted operation, or a particular result.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profit, revenue, production, goodwill, or data. Proactix’s total Pilot liability will not exceed the amount Customer paid for it.

The exclusions and cap do not apply to fraud, wilful misconduct, intellectual-property infringement, Customer’s payment obligation, or liability that cannot lawfully be limited.

12. General terms and contact

Neither party may assign without consent except to a successor that assumes this agreement in a merger, reorganization, or sale of substantially all relevant assets. Proactix may use service providers under the Addendum and remains responsible for its duties. Neither party is responsible for delay beyond reasonable control where it reasonably mitigates and resumes.

British Columbia law and applicable federal Canadian law govern. The parties will first attempt good-faith business resolution; subject to mandatory law, proceedings will be brought in British Columbia.

This is the entire Pilot agreement. Amendments require authorized written or electronic acceptance. Waiver must be express; an invalid provision is limited rather than invalidating the rest; headings are for convenience; no third party is a beneficiary.
