1. Parties, acceptance, and order
This agreement is between Joel Stjean, carrying on business as Proactix Safety, a registered British Columbia sole proprietorship (“Proactix”) and the organization identified by the person accepting it (“Customer”). The person accepting represents they are at least 18 and authorized to bind Customer; selecting the acceptance control is an electronic signature.
The checkout or signed order, this agreement, the Security & Trust Addendum, and the Acceptable Use Policy form the contract. The Privacy Notice explains personal-information handling. An order controls the tier, price, interval, capacity, and particulars it expressly changes; this agreement controls service; the Addendum controls data-security and processing.
2. Subscription service and licence
Safety Hub is a role-based safety-intelligence workspace for supported intake, evidence organization, pattern review, action ownership, verification, reporting, and related functions in Customer’s selected tier. Features, capacity, included users or covered persons, limits, and support are the server-authoritative terms displayed at checkout or in the order.
During the paid subscription, Customer receives a limited, non-exclusive, non-transferable right for authorized users to use Safety Hub for Customer’s internal operations. No source-code, model, scoring-logic, or underlying-method licence is granted.
3. Administration and lawful Customer Content
Customer must assign Account Owners, Billing Contacts, administrators, managers, supervisors, workers, contractors, and other roles appropriately; approve users; remove access promptly; maintain accurate contacts; and protect credentials.
Customer owns Customer Content and represents it has the rights, notices, consents, and lawful authority needed to submit it and instruct processing. Customer will minimize unnecessary sensitive information and will not use Safety Hub for unlawful monitoring, discrimination, retaliation, or as the sole basis for employment discipline.
4. Fees, taxes, renewal, and cancellation
Customer authorizes the recurring charge, currency, billing interval, tier, and applicable taxes shown at checkout or in the order. The browser cannot set price or entitlement. The payment provider handles full card details.
Unless the order says otherwise, subscriptions automatically renew for successive monthly periods until cancelled. Customer may cancel through the supported billing portal or by contacting Proactix; cancellation takes effect at period end. Except where law requires otherwise, incurred charges are non-refundable and not prorated.
Proactix may change a future-period price or materially change tier capacity on at least 30 days’ notice. Customer may cancel before the change. Taxes may change when required by verified facts or law.
5. Availability, support, and changes
Proactix will use commercially reasonable efforts to keep Safety Hub available and address reproducible defects. No uptime, response time, recovery objective, or service credit applies unless a signed order states it.
The service may be unavailable for maintenance, security response, provider failure, emergency work, or events beyond reasonable control. Proactix may improve features but will not knowingly remove core paid functionality during a current period without reasonable notice or a practical alternative where feasible.
6. Safety decision boundary
Safety Hub supports human decisions; it does not replace competent supervision, hazard assessment, training, emergency response, incident investigation, engineering judgment, legal or regulatory advice, professional safety advice, or Customer’s safety management system.
AI-assisted output may be incomplete, inaccurate, or contextually wrong. Customer must review outputs and act on urgent hazards through its own immediate procedures. Proactix does not guarantee identification of every hazard or duty, compliance, prevention, or a result.
7. Ownership, confidentiality, privacy, and security
Proactix owns Safety Hub and its software, models, methods, scoring logic, templates, workflows, reports, documentation, improvements, and generally applicable know-how. Customer may download and use Customer-specific outputs internally, but may not reverse engineer protected components, bypass limits, resell access, remove notices, or build a competing product except where law prohibits that restriction.
Each party will protect the other’s non-public information with reasonable care. The Security & Trust Addendum governs Customer Content, providers, safeguards, incidents, export, retention, and deletion. Proactix will not sell Customer Content, use identifiable content to train a public or third-party general-purpose model, or publish Customer-identifiable results without written permission.
8. Suspension and termination
Proactix may suspend affected access for overdue or reversed payment, material security threat, unlawful use, material breach, danger to the service or others, or an Acceptable Use Policy violation. Where practicable, it will limit suspension, give notice, and allow a reasonable cure.
Either party may terminate for an uncured material breach after reasonable notice. Proactix may discontinue the service on at least 60 days’ notice and refund prepaid unused amounts. At termination, access ends subject to the Addendum’s export and deletion period.
9. Warranties, disclaimer, and liability
Each party warrants authority. Proactix warrants professional service with commercially reasonable care. Customer’s primary remedy for verified breach is reasonable correction or re-performance; if not commercially reasonable, Customer may terminate and receive any prepaid unused amount.
Except for express warranties and to the extent permitted by law, Safety Hub is provided “as is” and “as available,” without implied warranties of merchantability, fitness, non-infringement, uninterrupted or error-free operation, completeness, or a particular outcome.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profit, revenue, production, goodwill, or data. Proactix’s aggregate liability in any 12-month period will not exceed Safety Hub fees Customer paid in that period.
The exclusions and cap do not apply to fraud, wilful misconduct, intellectual-property infringement, Customer’s payment obligation, or liability that cannot lawfully be limited.
10. General terms and contact
Neither party may assign without consent except to a successor that assumes this agreement in a merger, reorganization, or sale of substantially all relevant assets. Proactix may use service providers under the Addendum and remains responsible for its duties. Neither party is responsible for delay beyond reasonable control where it reasonably mitigates and resumes.
British Columbia law and applicable federal Canadian law govern. The parties will first attempt good-faith business resolution; subject to mandatory law, proceedings will be brought in British Columbia.
This is the entire Safety Hub agreement. Amendments require authorized written or electronic acceptance. Waiver must be express; an invalid provision is limited rather than invalidating the rest; headings are for convenience; no third party is a beneficiary.
Contract, support, privacy, export, and deletion requests may be sent to Joel.proactix@gmail.com. Sensitive Customer Content belongs in the authenticated product path, not ordinary email.
